(Nasdaq:ADSK), the world's leading design software and digital content company, announced today that its Board of Directors has declared a quarterly cash dividend of $0.03 per share on its Common Stock. The dividend is payable October 18, 2002 to shareholders of record at the close of business on October 4, 2002.

As of July 31, 2002, the Company had $407 million in cash, cash equivalents and marketable securities and approximately 112.8 million shares of common stock outstanding. Autodesk reported net income of $12 million, or earnings per diluted share of $0.10, on net revenues of $211 million for the second fiscal quarter ended July 31, 2002.
