(Nasdaq:ADSK), the world's leading design software and digital content company, announced today that its Board of Directors has declared a quarterly cash dividend of $0.03 per share on its Common Stock. The dividend is payable July 19, 2002 to shareholders of record at the close of business on July 5, 2002.

As of April 30, 2002, the Company had $423 million in cash, cash equivalents and marketable securities and approximately 114.7 million shares of common stock outstanding. Autodesk reported net income of $18 million, or earnings per diluted share of $0.15, on net revenues of $229 million for the first fiscal quarter ended April 30, 2002.
