San Rafael, California, September 18, 2000—Autodesk, Inc. (Nasdaq: ADSK) announced today that its Board of Directors has declared a quarterly cash dividend of $0.06 per share on its Common Stock including holders of Exchangeable Shares of Discreet Logic Inc. The dividend is payable October 20, 2000, to shareholders of record at the close of business on October 6, 2000.

As of July 31, 2000, the Company had $442.2 million in cash, cash equivalents, and marketable securities and approximately 57.6 million shares of Common Stock outstanding, including Exchangeable Shares outstanding. Autodesk reported net income of $20.8 million, or earnings per share of $0.35, on net revenues of $226.3 million for the second fiscal quarter ended July 31, 2000.
