San Rafael, California, June 30, 2000 —Autodesk, Inc. (Nasdaq: ADSK) announced today that its Board of Directors has declared a quarterly cash dividend of $0.06 per share on its Common Stock including holders of Exchangeable Shares of Discreet Logic Inc. The dividend is payable July 21, 2000, to shareholders of record at the close of business on July 7, 2000.

As of April 30, 2000, the Company had $433.8 million in cash, cash equivalents, and marketable securities and approximately 58.3 million shares of Common Stock outstanding including Exchangeable Shares outstanding. Autodesk reported net income of $25.6 million, or earnings per share of $0.41, on net revenues of $223.3 million for the first fiscal quarter ended April 30, 2000.
