(Nasdaq:ADSK), the world's leading design software and digital content company, announced today that its Board of Directors has declared a quarterly cash dividend of $0.03 per share on its Common Stock. The dividend is payable July 25, 2003 to shareholders of record at the close of business on July 11, 2003.

As of April 30, 2003, the Company had $401.8 million in cash, cash equivalents and marketable securities and approximately 111.6 million shares of common stock outstanding. Autodesk reported net income of $7.5 million, or earnings per diluted share of $0.07, on net revenues of $210.8 million for the first fiscal quarter ended April 30, 2003.
